Kabaido Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of Kabaido (the “Service”), a B2B tooling quoting and product-matching platform (including RFQ intake, pricing logic/calculators, quote generation, and related pages, APIs, and features). By accessing or using the Service, you agree to these Terms.

Important: This page is a template-style Terms document written for general business use in the UK, Europe/EEA, and USA. It’s not legal advice. You should have a qualified lawyer review it and fill in any bracketed company details.

1) Who we are

Kabaido”, “we”, “us”, or “our” refers to Kabaido.

You” or “Customer” means the entity (or, if applicable, the individual) using the Service.

2) Scope of the Service

Kabaido provides software and tools to help industrial tooling suppliers and manufacturers process RFQs, configure products, calculate pricing, and generate quotes and supporting documents.

We may update, change, or discontinue any part of the Service, and we may introduce new features, limits, or requirements.

3) Eligibility and business use

The Service is intended for business and professional use. If you use the Service as a consumer, some clauses (including certain liability limitations) may not apply where prohibited by applicable law.

You represent that:

  • you have authority to bind the Customer to these Terms, and

  • your use will comply with all applicable laws and regulations.

4) Accounts and security

You are responsible for:

  • keeping login credentials secure,

  • activities under your account (including by employees/contractors), and

  • providing accurate and current account information.

Notify us promptly of any suspected unauthorised access.

5) Orders, fees, and payment

If you purchase a subscription, pilot, or paid services, the commercial terms (pricing, billing cycle, scope, and any service levels) may be set out in an Order Form or similar written agreement. If there’s a conflict, the Order Form controls for that specific purchase.

Unless otherwise stated:

  • fees are exclusive of applicable taxes (VAT, sales tax, etc.),

  • you’re responsible for all taxes related to your purchase (excluding taxes on our income),

  • late payments may result in suspension of access.

Trials and betas (if offered) may be limited, time-bound, and provided “as is”.

6) Customer data, inputs, and outputs

Customer Data” includes information you submit to the Service (e.g., RFQ details, product specs, pricing rules, catalog data, attachments, customer details).

You retain ownership of Customer Data. You grant us a limited licence to host, process, transmit, and display Customer Data only to provide, secure, and improve the Service.

You are responsible for:

  • the legality of Customer Data,

  • having the right to upload and process it, and

  • ensuring it does not violate confidentiality obligations to third parties.

Generated outputs (such as quote PDFs, pricing breakdowns, and match results) depend on your inputs and configuration. You are responsible for verifying outputs before sending to customers or using for procurement/manufacturing decisions.

7) Acceptable use

You agree not to (and not to allow others to):

  • reverse engineer, decompile, or attempt to discover source code (except where permitted by law),

  • bypass security, rate limits, or access controls,

  • use the Service to upload malware or harmful content,

  • infringe intellectual property, confidentiality, privacy, or other rights,

  • use the Service to build or benchmark a competing product (except as allowed by written agreement),

  • engage in unlawful, deceptive, or abusive conduct.

We may suspend or terminate access for violations or to protect the Service and other users.

8) Intellectual property

We own all rights in the Service, including software, UI, templates, workflows, and documentation, excluding Customer Data.

You receive a limited, non-exclusive, non-transferable licence to use the Service during your subscription or permitted access period, subject to these Terms.

Feedback you provide (suggestions, ideas, bug reports) may be used by us without restriction or obligation.

9) Confidentiality

Each party may receive the other’s non-public information (“Confidential Information”). You agree to:

  • use Confidential Information only to perform under these Terms,

  • protect it using reasonable care, and

  • not disclose it except to authorised personnel bound by confidentiality.

This does not apply to information that is public, independently developed, lawfully received, or required to be disclosed by law (with notice where legally permitted).

10) Privacy and data protection (UK GDPR, EU GDPR, and US considerations)

We process personal data in accordance with our Privacy Policy and applicable laws (including UK GDPR and EU GDPR where relevant). If we process personal data on your behalf as a processor, we may require a separate Data Processing Agreement (DPA).

You are responsible for ensuring you have a lawful basis to provide any personal data to Kabaido and for providing required notices to data subjects.

11) Third-party services

The Service may integrate with or link to third-party services (e.g., storage, analytics, communications, video, ERP/CRM integrations). Third-party services are governed by their own terms, and we are not responsible for them.

12) Warranties and disclaimers

We aim to provide a reliable Service, but except where prohibited by law, the Service is provided “as is” and “as available”.

To the maximum extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • outputs are error-free, complete, or suitable for any specific commercial outcome,

  • the Service will be uninterrupted or always available.

13) Limitation of liability

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot be excluded under applicable law.

Subject to the above, and to the maximum extent permitted by law:

  • we are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, goodwill, data, or business interruption;

  • our total aggregate liability arising out of or relating to the Service will not exceed the fees paid (or payable) by you for the Service in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14) Indemnity

You agree to indemnify and hold us harmless from claims, damages, liabilities, and expenses arising from:

  • Customer Data you provide,

  • your misuse of the Service,

  • your violation of laws or third-party rights.

We will notify you of any claim and reasonably cooperate (at your cost).

15) Suspension and termination

You may stop using the Service at any time. Subscription cancellation terms (if any) are set out in your Order Form.

We may suspend or terminate access if:

  • you breach these Terms,

  • payment is overdue,

  • we are required to do so by law, or

  • your use poses a security or operational risk.

On termination, your licence ends. We may delete Customer Data in accordance with our retention practices and any DPA/Order Form terms.

16) Export controls and sanctions

You agree to comply with applicable export control and sanctions laws (including those of the UK, EU, and US). You represent that neither you nor your users are subject to sanctions that would prohibit access to the Service.

17) Changes to these Terms

We may update these Terms from time to time. The “Last updated” date will change. Continued use after changes means you accept the updated Terms. If you do not agree, stop using the Service.

18) Governing law and jurisdiction (UK / EEA / USA)

To support customers across the UK, Europe/EEA, and USA, governing law depends on your contracting entity/location:

  • UK & EEA Customers: governed by the laws of England and Wales, with courts of England and Wales having exclusive jurisdiction (unless mandatory local law requires otherwise).

  • US Customers: governed by the laws of the State of Delaware, with courts located in Delaware having jurisdiction (unless your Order Form states otherwise).

If you want one single governing law for all customers, set it in your Order Form and revise this section accordingly.
